These Terms of Service ("Terms") govern access to and use of the M365Suite service (the "Service") provided by M365Suite LLC ("M365Suite," "we," "us," or "our"). By creating an account, accepting an order, or using the Service, you agree to these Terms.

1. The Service

M365Suite provides a hosted service for discovering Microsoft SharePoint sites and backing up SharePoint navigation structures, related site metadata, backup history, recovery evidence, change monitoring, and administrative controls. Features depend on the subscription tier, connected Microsoft tenant, enabled integrations, and applicable technical limits.

M365Suite is not Microsoft, SharePoint, Microsoft 365, Stripe, or an agent of any of them. Microsoft services remain subject to Microsoft's own terms and availability. You are responsible for maintaining the Microsoft permissions and tenant configuration required for the Service to operate.

2. Accounts and authority

You must provide accurate account information and keep authentication credentials and connected-tenant permissions secure. You represent that you are authorized to bind the organization you identify during signup and to grant the permissions used by the Service. You are responsible for activity performed through your account and for ensuring that your users follow these Terms.

You must promptly notify us of suspected unauthorized access. We may suspend access when reasonably necessary to protect the Service, customers, Microsoft tenants, or connected infrastructure.

3. Customer data and permissions

"Customer Data" means data submitted to, retrieved by, or generated for you through the Service, including SharePoint site metadata, navigation structures, backup records, tenant configuration, user and role information, and support communications.

You retain your rights in Customer Data. You instruct M365Suite to process Customer Data to provide, secure, maintain, troubleshoot, and improve the Service as described in these Terms and the Privacy Policy. You are responsible for having the rights, notices, and permissions needed for M365Suite to process Customer Data.

You must not use the Service to process highly regulated data unless we have expressly agreed in writing to the required controls. Do not place passwords, private keys, payment-card numbers, or unrelated sensitive personal information in site names, navigation labels, support requests, or uploaded files.

4. Acceptable use

You may not:

  • access a Microsoft tenant, site, account, or backup that you are not authorized to access;
  • bypass authentication, MFA, role restrictions, subscription limits, rate limits, or tenant isolation;
  • use the Service to violate law, Microsoft's terms, or another person's rights;
  • upload malware or use the Service to probe, attack, overload, or disrupt any system;
  • reverse engineer, copy, resell, sublicense, or create a competing service from the Service;
  • submit material that is unlawful, infringing, abusive, or intended to deceive; or
  • use automated access in a way that materially degrades the Service or Microsoft APIs.

5. Subscriptions, billing, and taxes

Paid features are provided under the plan and billing interval shown at checkout or in an order. Subscription charges are processed by Stripe or another payment provider shown at checkout. We do not receive or store your full payment-card number. You authorize recurring charges until the subscription is cancelled or otherwise ends.

Prices, taxes, plan limits, billing dates, renewal behavior, cancellation timing, refunds, and payment-failure handling are shown at checkout or in your order. You are responsible for applicable taxes unless the invoice states otherwise. We may change prices or plans on reasonable notice, with changes applying at the next renewal unless a different rule is required by law or an order.

We may restrict paid features for overdue or failed payments after reasonable notice. Cancellation does not automatically erase Customer Data; deletion and retention follow the Service controls, your plan, and the applicable order or DPA.

6. Third-party services

The Service integrates with Microsoft services, Stripe, email delivery, cloud hosting, and other providers identified in our documentation or DPA. Third-party services may be unavailable or change independently. M365Suite is not responsible for failures caused solely by a third-party service, permissions you revoke, tenant policies, service limits, or changes outside our reasonable control.

7. Security and availability

We maintain administrative, technical, and organizational safeguards appropriate to the Service, including authentication controls, role-based access, tenant isolation, encrypted transport, protected storage, audit records, backup durability controls, and operational monitoring. No online service is completely secure or uninterrupted. You must maintain appropriate Microsoft tenant security, MFA, least-privilege permissions, and user access reviews.

Service availability targets, maintenance practices, and support commitments apply only if stated in an order or published service-level commitment.

8. Intellectual property

M365Suite and its licensors retain all rights in the Service, software, documentation, interfaces, trademarks, and improvements. Except for the limited right to use the Service during your subscription, no rights are transferred. You grant M365Suite the limited rights needed to host and process Customer Data for the Service.

You may provide suggestions or feedback. We may use feedback without restriction, provided it does not identify you or disclose Customer Data.

9. Confidentiality

Each party may receive non-public information from the other party. The receiving party will use reasonable care, use the information only for the relationship, and disclose it only to personnel and providers who need it and are bound to protect it. Confidentiality does not cover information that is public, already known without restriction, independently developed, or lawfully received from another source.

10. Term, suspension, and termination

These Terms begin when you accept them or use the Service and continue until your account or subscription ends. Either party may terminate for material breach that remains uncured after written notice, subject to any order terms. We may suspend or terminate access for security risk, unlawful use, nonpayment, or material violation of these Terms.

After termination, your access ends. We will handle Customer Data according to the applicable retention and deletion settings, order, and DPA. Sections that by their nature should survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitations of liability, indemnity, and dispute terms, survive termination.

11. Warranties and disclaimers

The Service is provided on an "as available" basis except for express commitments in an order or applicable SLA. To the maximum extent permitted by law, M365Suite disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. We do not guarantee that every Microsoft site, navigation element, API response, or restoration result will be captured or restored in every tenant configuration.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, goodwill, or data. M365Suite's aggregate liability arising from the Service is limited to the fees paid or payable by you for the Service during the twelve months before the event giving rise to the claim, except where applicable law does not allow that limitation. Nothing in these Terms limits liability that cannot legally be limited.

13. Indemnity

You will defend and indemnify M365Suite and its personnel against third-party claims arising from your unlawful use of the Service, your breach of these Terms, your Customer Data, or your failure to obtain required permissions, except to the extent caused by M365Suite's own breach or misconduct.

14. General terms

Neither party may assign these Terms except with the other party's consent, except in a merger, reorganization, or sale of substantially all assets. Neither party is liable for delay caused by events beyond reasonable control. If a provision is unenforceable, the rest remains effective. These Terms and an applicable order form the entire agreement about the Service and replace prior discussions about the same subject.

Governing law and venue: The laws of the Commonwealth of Virginia, United States, without regard to conflict-of-law rules; courts located in Virginia will have exclusive jurisdiction to the extent permitted by law.
